Code of Conduct

Preamble

Our Code of Conduct is intended as a guideline for the whole of DIg-SILENT GmbH and therefore applies equally to all of us. Specifically, it is aimed at executives, managers and all of our employees and suppliers.

It represents our own aspirations to live up to the values and principles cited therein and, at the same time, signals responsible behaviour out-wardly to our business partners, customers and employees.

Obligations of Company Management

DIgSILENT GmbH recognises its obligation to act economically, socially and with environmental awareness. DIgSILENT GmbH strives to conduct its business competently and in line with ethical moral principles and to practise fair competition in all markets in which we are active.

This includes compliance with current legislation, including the prohibition of cartels and restrictions of competition.

We wish to avoid gaining unfair advantages over customers, suppliers or competitors.

Implementation and Execution

DIgSILENT GmbH undertakes to make all necessary efforts to satisfy the principles and values described in this Code of Conduct.

Team Spirit, Constructive Cooperation

We encourage constructive teamwork among our staff. In doing so, we constantly question existing solutions and develop new ideas for the ben-efit of our customers.

The diversity of our staff employed in the various business areas guaran-tees successful cooperation.

Standards of Behaviour

We demand from all our employees that they act at all times in accordance with the highest professional standards as well as with our company guidelines.

Should our employees, in the course of their duties or by their conduct, offend against existing directives, rules or regulations, they can expect disciplinary action.

Honest Communication with Our Employees

We do not hush up misconduct. If employees report actual or suspected misconduct in good faith, we will not tolerate any attempts at intimidation or reprisals against them.

“In good faith” means for us that the employee is convinced that their ac-count represents the truth. This applies regardless of whether or not a later investigation confirms the employee’s version.

Dialogue with Collaboration Partners

All our partners’ business information and commercially sensitive data will always be handled sensitively and confidentially. Necessary documents will be created, stored properly and destroyed, if necessary, at the end of the collaboration.

Customer Focus

We treat our customers and business partners with respect, fairness and honesty. We study the wishes, needs and expectations of our customers and partners to ensure their targeted implementation in products, services or other processes. Their interests and requirements are pivotal to our work and future development.

Our prime goal is to establish a long-term, stable relationship with our customers and partners, based on trust.

Acceptance of Gifts, Donations

Gifts to our employees

Our employees neither demand nor accept personal benefits from customers or suppliers that influence or could influence their own behaviour regarding their own activities for the company. Gifts offered by third parties must be declined as a matter of principle. Only in cases of common courtesy may they be accepted within reason.

Gifts from our employees

Gifts on our part are not intended. Promotional items (e.g., at trade fairs) may be offered to the customary extent and within a reasonable scope. The recipient may not construe any obligation from this that might influ-ence their business decisions.

Donations

DIgSILENT GmbH donates exclusively to recognised non-profit organisations. We do not make donations to political parties.

Company Property and Information

We attach great importance to the careful and responsible use of work equipment, our manufactured products and the intellectual property of the company.

Bribery and Corruption

We will not tolerate any form of corruption and bribery, regardless of whether or not company assets or the assets of third parties are damaged as a result. We apply control mechanisms to prevent bribery, theft, embezzlement, fraud, tax evasion or money laundering.

Our employees are forbidden to accept or grant favours of any kind (cash, trips, gifts, etc.) which are linked to an advantage (order placement, contract award, etc.).

Our business partners are also urged to avoid conflicts of interest that carry a risk of corruption.

Compliance with Current Legislation

We oblige our executives to familiarise themselves with the laws, regula-tions and rules relevant to their areas of responsibility and to observe these without exception. Our executives, in particular, bear a great re-sponsibility for the fulfilment of this Code of Conduct.

The business practices of our partners and their suppliers must also com-ply with current laws. This especially concerns import, export, domestic trading, technologies or services, but also payments and capital transactions.

Violation of an economic embargo or of trade, import and export control regulations must be precluded by our business partners, as must the
financing of terrorism.

Fair Competition

We are dedicated to fair competition and abide by its laws and regulations. We refrain from making deals on prices, conditions and strategies with competitors, suppliers, other companies or dealers that hinder fair trade. We do not take part in anticompetitive boycotts.

Data Privacy

We handle all personal data of our customers, business partners and employees with great care. These include names, addresses, phone numbers, dates of birth and information about present health conditions.

In order to protect the data, our staff are obliged to take all the appropriate measures to secure our IT system against both internal and external data theft.

This particularly concerns misuse of passwords within the company as well as unauthorised downloading, especially of inappropriate material, from the Internet.

Work Protection

We observe all the laws and regulations regarding health and safety at the work place for the protection of our employees. This also applies to working from home. For this purpose, measures are taken, especially by our executives, to create a safe and healthy working environment for our staff.

Environmental Protection

Protection of the environment and the climate is an important concern for us. Our staff are urged to handle sparingly all natural resources, such as energy and water, that are used in our company.

Responsible action in the manufacture and distribution of our products and/or services is expected from our employees.

Protection against Child Labour or Forced Labour

We are strictly opposed to child labour or forced labour without exception and also expect this of our business partners.

Discrimination Prohibition

All forms of discrimination are strictly forbidden.

This includes discrimination based on nationality, ethnicity, age, gender, sexual orientation, marital status, pregnancy, disability, religion or ideology.

Promotions and new appointments are always made free from discrimination.
